Scottish National Investment Bank Bill 5 Part 1—Establishment of the Bank Chapter 2—The Bank’s articles of association on establishment 9 Committees (1) The articles of association must enable the Bank’s directors to set up, and delegate functions to, committees and sub-committees. (2) The articles of association must require— 5 (a) that the Bank have— (i) an audit committee, and (ii) a risk committee, and (b) that each of those committees is chaired by a non-executive director. (3) The articles of association must state that— 10 (a) the audit committee has the function of providing independent review and oversight of the company’s financial reporting processes, internal controls and independent auditors, (b) the risk committee has the function of reviewing the Bank’s risk-management systems. 15 9B Gender equality strategy (1) The articles of association must provide that— (a) the Bank is to prepare, and from time to time update, a gender equality strategy, (b) in doing those things the Bank is to consult persons with experience in or knowledge of the formulation, implementation and evaluation of policies intended 20 to tackle gender inequality, (c) the Bank is to make its gender equality strategy publicly available, (d) the Bank’s gender equality strategy may be in any form that the Bank considers appropriate and (in particular) may be part of another document. (2) The articles of association must provide that the Bank’s gender equality strategy is to set 25 out— (a) what the Bank is committed to doing to advance gender equality in Scotland (in particular through its investing and staffing practices), (b) what information the Bank intends to collect for the purpose of carrying out the evaluations required by section 13A(1). 30 10 Entrenched provisions The articles of association must provide that those provisions of the articles which are framed in accordance with this Chapter may be amended or repealed only in accordance with section 20. 6 Scottish National Investment Bank Bill Part 2—Operational matters P ART 2 O PERATIONAL MATTERS Strategic missions 11 Setting missions 5 (1) The Scottish Ministers are to set strategic missions for the Bank. Commencement and short title 24 Commencement (1) This section and sections 22, 23, and 25 come into force on the day after Royal Assent. 15 (2) The other provisions of this Act come into force on such day as the Scottish Ministers may by regulations appoint. (3) Regulations under subsection (2) may— (a) include transitional, transitory or saving provision, (b) make different provision for different purposes. 20 25 Short title The short title of this Act is the Climate Change (Emissions Reduction Targets) (Scotland) Act 2019. 22 Climate Change (Emissions Reduction Targets) (Scotland) Bill Schedule—Modifications of the 2009 Act SCHEDULE (introduced by section 21) M ODIFICATIONS OF THE 2009 A CT 1 The 2009 Act is amended as follows. 5 4 Sections 4 to 8 are repealed. 5 In section 9— (a) in subsection (1)— (i) the words “, beginning with the year 2011,” are repealed, (ii) in paragraph (a), after “of”, insert “future emissions reduction targets,”, 10 (iii) in paragraph (a), sub-paragraphs (i) to (iii) are repealed, (iv) in paragraph (b), for “annual targets, the interim target or the 2050 target” substitute “future emissions reduction targets”, and (v) in paragraph (c), for “annual targets, the interim target or the 2050 target” substitute “the future emissions reduction targets”, 15 (b) in subsection (2)— (i) for “a year for which an annual target has been set (a “target year”)”, substitute “each target year”, (ii) in paragraph (a), for “annual” substitute “emissions reduction”, (iii) paragraph (b) is repealed, and 20 (iv) in paragraph (d), after “emissions” insert “of greenhouse gases”. 6 Sections 14, 21, 22 and 23 are repealed. 7 After section 20, insert— “20A The relevant body (1) In this Part, the “relevant body” means— 25 (a) where no order has been made under section 24(1) designating a person or body as the advisory body, the UK Committee on Climate Change, or (b) where such an order has been made, the advisory body.
